Aw Extraordinary Meeting of shareholders in this Company was held on Monday afternoon, 21st September, 1891, at the Office of the Agents, Messrs. Drysdale, Ringer and Ca., for the purpose of considering a scheme toxell the property of the Company to a new Company to be formed to acquire the proerty of the Mendota and Sheridan Mining companies, and certain other proposals. Mr. Duncan Glass presided and there were present Messrs, G. Galles, T, Wood (Directors), H. Morris, J. D. Thorburn, J.
Jaques, W. Brand, J. R. Haggitt, O.
Young, F. J. Marshall, A. McLeod, A. J. Schuffenhauer, "W.' T. Phipps, J.-M. How, J. A. Taylor, R. M, Campbell, E. W. Rice, A. Cushny, A Korfl, M. F. A. Fraser, R. Francis, W. A. Gulland, J. H. MacLaren, C. Buchanan, and D. T. Black, representing 2,438 shares, notice convening the meeting having been read by the Secretary (Mr. T. Wood), The Chairman said:—Gentlemen, this scheme has now been in your hands for some months, and you have had the advertisement before you so long that I presume you have all made up your minds Meeting; so I need hardly detain you with to wht you wre going to do at this any further statement except to refer to what was done at the last meeting. At that meeting we said—or T said—that we were prepared to amalgamate with the Sheridan on equal terms only, but since then we have found it advisable to change our minds, and the reason for so doing ts 50 clearly expressed in a letter from Mr. Porter that T think I had better read what he says. The letter is dated June 10th and the extract is follow congratulate you and other Shanghai friends upon the amalgamation as agreed upon. The concession by Mendota is so small that it means but little, and it also provides money to clear up indebtedness and some of the dend work. While the Men-data had been more or less neglected for the Sheridan, the cold facts remain, so that the Sheridan' hud, however, the whip hand.
T said in a former letter failure to consolidate would have resulted in dire disaster to both Companies and, 1 believe in law-suits, and much bad blood would have been the result."
Nov this is the opinion of a man which we value, and in addition to it we have the advice of our Manager, Mr, Waters, who strongly advises wnualgamation the terms proposed, and Mr. Morrison is also strongly in favour of the scheme. We therefore ask you now to agree to it on the terms proposed, but before putting the resolution to the vote, I shall be glad to answer any questions that may be asked.
The Cuaneman then proposed That this meeting having considered proposal for selling all the lands, mines and other property and effect of this Company to anew Company to be formed and called "Phe Sheridan Consolidated Mining and Milling Company, Limited," the sula to be on terms as near as may be to the terms upon which it was proposed, the Company should hand over the property under the memorandum headed "Scheme for proposed amalgamation of the Sheridan Mining Company and the Mendota Mining Company" which was produced at the lust meeting of the Company, and does approve of the proposed sale, Mr. Gaxtes seconded and the proposition was unanimously adopted.
The following motions, proposed by the Cuatraan and seconded by Mr, Gants, were also unanimously carried That the Directors be directed to carry out the said sale, That the Deed of Settlement of the Company be nitered by striking out from clause 96 (0) the words from "provided that the purchase money" to the end of the clause, That the Company be, and is hereby, put into liquidation, The proceedings then terminated with vote of thanks to the Chairman.
