'The plaintiff" Youngs was present as a director, but no ratifieation of the agreement under Article B of the articles' of association took piaes. The agreement was not. mentioned. But Youngs did mention that he had an agreement with company called Han Yung & Con, to build a third boat and Youngs was empowered to enter into the contract.
The second meeting of the dir-actors took place, but although the minutes of the meeting are into the minute book, there date of the meeting nor are the minutes signa At that meeting it was proposed and seconded and carried that "the conteaet with Walter C, Youngs should be accepted."
But it doos not say what the contract was, and it is quite probable that it was the contract or agreement between Youngs and Han Yung Ca, mentioned in the previous minutes, that was referred to. Anyway the minutes are undated and unsigned.
The next meeting of directors oes not take place till July 23, 1025, at which time the plaintiff Walter C. Youngs had left the company, Or, to use his own words, he had "walked out" of the company.
