The Chairman—The next resolution is proposed by Mr. J. D. Thorburn and seconded by myself, It That Mr. Wilmer Harris be re-elected as auditor for the current year, and his remuneration be as heretofore, Tis, 200.
I have much pleasure in speaking to this solution as Mr, Harris has elf by the careful way gone into our accounts, in fact, the onl thing we have got to sny against him that the Secretary complain way in which he requires vouchers and sees into the details of our accounts, The resolution was then put and carried, a ion of our private meeting Tintimated that with the view of leaving shareholders entirely free and untrammeiled in electing an entirely new Board who will then be in a position to appoint " Secretary and General Manager of your own. chousing, we intended to place our resignation in your hands at the general meeting on the 27th instant, and to enable you to make the election legally we are prepared to recommend the nominees you bring forward and then fornully resign ourselves, By giving you this inten you had several days' tu look ronni suitable men to serve on the new Board. I have now to ask if any shareholder has any resolution to offer. The present Board will recommend any new Board you may suggest and upon doing sv will formally resign. The fact of the present Board recommending the nominees of the shareholders, gets over any difficulty arising from clause 107 of the Articles of Assuciation, and will make any uew Beard now elected perfectly legal.
Mr. A, Burman—I think you gave such very ample information at the i formal meeting that it is ry refer to anything in connection with th working of the company. 1 begtopropose:—
That Messrs, J. D. Thorburn, John Cham-re, H, J. Such, and A. McLeod, having agreed to serve if elected, they be elected as Directors of Mejor Bros,, Ld.
